I might be wondering if this is useful for hobby finetuning. Only 8k
context length though (some models have 128k now), although ALiBi is
purported to be extendable to longer context lengths than it was
trained on.

BTLM-3B-8K: 7B Parameter Performance in a 3B Parameter Model
We introduce the Bittensor Language Model, called "BTLM-3B-8K", a new
state-of-the-art 3 billion parameter open-source language model.
BTLM-3B-8K was trained on 627B tokens from the SlimPajama dataset with
a mixture of 2,048 and 8,192 context lengths. BTLM-3B-8K outperforms
all existing 3B parameter models by 2-5.5% across downstream tasks.
BTLM-3B-8K is even competitive with some 7B parameter models.
Additionally, BTLM-3B-8K provides excellent long context performance,
outperforming MPT-7B-8K and XGen-7B-8K on tasks up to 8,192 context
length. We trained the model on a cleaned and deduplicated SlimPajama
dataset; aggressively tuned the \textmu P hyperparameters and
schedule; used ALiBi position embeddings; and adopted the SwiGLU
nonlinearity. On Hugging Face, the most popular models have 7B
parameters, indicating that users prefer the quality-size ratio of 7B
models. Compacting the 7B parameter model to one with 3B parameters,
with little performance impact, is an important milestone. BTLM-3B-8K
needs only 3GB of memory with 4-bit precision and takes 2.5x less
inference compute than 7B models, helping to open up access to a
powerful language model on mobile and edge devices. BTLM-3B-8K is
available under an Apache 2.0 license on Hugging Face:

despite clear evidence that he took bribery. Instead of thanking his
lucky star, he carried on and even had balls to write up a bill to

Democrat Sen. Bob Menendez, Wife Indicted Over Gold Bar And Other
Bribery Schemes
Sen. Bob Menendez (D-NJ) and his wife Nadine have been indicted in New
York for allegedly accepting bribes in relation to an allegedly
corrupt relationship they had with three businessmen from their home
state. The indictment also charges three businessmen, Wael Hana, Jose
Uribe and Fred Daibes.
"Those bribes included cash, gold, payments toward a home mortgage,
compensation for a low-or-no-show job, a luxury vehicle, and other
things of value," reads the indictment.
Daibes, a developer and former bank chairman, allegedly gave Menendez
gold bars valued at approximately $400,000, in exchange for assistance
in a case in which he faced federal bank charges.
Instead of facing over 10 years in prison, Daibes, a felon, only ended
up serving probation after striking an agreement with the US
Attorney's Office in New Jersey.
"For purposes of the Federal Extortion Act, it makes no difference if
the senator took an official act so long as he accepted the money and
there was knowledge the money was in exchange for that official
influence, even if he never carried out what he had promised he would
do," according to NBC Legal Analyst Danny Cevallos.
Menendez disclosed that his family had accepted gold bars in 2020.
Daibes encountered bank fraud charges that could have netted him up to
a decade in prison for lying about a nearly $2 million loan from
Mariner's Bank, where Daibes served as chairman.
Last year, however, New Jersey's U.S. Attorney's Office agreed to
let Daibes plead guilty to one count and serve probation. They said
Daibes had repaid the loan. -Fox News
According to the report, Menendez, 69, is 'close' with US Attorney
Philip Sellinger - having supported him for the position, while
Sellinger had previously raised funds for Menendez's campaign.

Officials are also looking at whether Menendez, the former Chairman of
the powerful Senate Foreign Relations Committee, or his wife, had
improperly received gifts from a New Jersey food processor who
obtained an exclusive contract with the Egyptian government to certify
halal food experts around the world.
Egyptian officials and the New Jersey businessman who received the
contract were hosted by Menendez in his office in 2018, according to
the Wall Street Journal. A year later, the businessman became the
"sole certifier of halal meat exported from the U.S. to Egypt," the
outlet noted.
NBC News 4 said the gifts included the usage of a Mercedes and a
luxury Washington, D.C., apartment. Investigators are attempting to
resolve if Menendez, chair of the Senate Foreign Relations Committee,
used his standing to help the man secure the contract. -Fox News

Government information to Egypt.'

Menendez and his wife are charged with three counts: conspiracy to
commit bribery, conspiracy to commit honest services fraud, and
conspiracy to commit extortion under color of official right.
In June of last year, federal agents searched Menendez's New Jersey
home, where they found "fruits" of the pair's "corrupt bribery
agreement" with the three businessman - including over $480,000 in
cash, some of which was stuffed in envelopes, and $70,000 in Nadine
Menendez's safe deposit box.
They also found gold bars worth over $100,000, "provided by either
Hana or Daibes."
In the months before his office admitted he was under federal
investigation, Menendez's wife sold up to $400,000 in gold bars
between April 7, 2022 and June 16, 2022.

Kevin David Mitnick (August 6, 1963 – July 16, 2023) was an American
computer security consultant, author, and convicted hacker. He is best
known for his high-profile 1995 arrest and five years in prison for
various computer and communications-related crimes.[6] Mitnick's
pursuit, arrest, trial, and sentence along with the associated
journalism, books, and films were all controversial.[7][8] After his
release from prison, he ran his own security firm, Mitnick Security
Consulting, LLC, and was also involved with other computer security
businesses.
Early life and education
Mitnick was born on August 6, 1963,[9] in Van Nuys, California.[10]
His father was Alan Mitnick, his mother was Shelly Jaffe, and his
maternal grandmother was Reba Vartanian.[1][11] He grew up in Los
Angeles, California.[9] At age 12, Mitnick convinced a bus driver to
tell him where he could buy his own ticket punch for "a school
project", and was then able to ride any bus in the greater Los Angeles
area using unused transfer slips he found in a dumpster next to the
bus company garage.[12]
Mitnick attended James Monroe High School in North Hills,[13][14]
during which time he became a licensed amateur radio operator with
callsign WA6VPS[15] (his license was restored after imprisonment with
callsign N6NHG[16]). He chose the nickname "Condor" after watching the
movie Three Days of the Condor.[17] He was later enrolled at Los
Angeles Pierce College and USC.[13]
Career
For a time, Mitnick worked as a receptionist for Stephen S. Wise Temple.[13]
Computer hacking
Mitnick gained unauthorized access to a computer network in 1979, at
16, when a friend gave him the telephone number for the Ark, the
computer system that Digital Equipment Corporation (DEC) used for
developing its RSTS/E operating system software.[18] He broke into
DEC's computer network and copied the company's software, a crime for
which he was charged and convicted in 1988. He was sentenced to 12
months in prison followed by three years of supervised release. Near
the end of his supervised release, Mitnick hacked into Pacific Bell
voicemail computers. After a warrant was issued for his arrest,
Mitnick fled, becoming a fugitive for two-and-a-half years.[19]
According to the United States Department of Justice, Mitnick gained
unauthorized access to dozens of computer networks while he was a
fugitive. He used cloned cellular phones to hide his location and,
among other things, copied valuable proprietary software from some of
the country's largest cellular telephone and computer
companies.[20][21] Mitnick also intercepted and stole computer
passwords, altered computer networks, and broke into and read private
emails.[21][22]
Arrest, conviction, and incarceration

After a well-publicized pursuit, the Federal Bureau of Investigation
arrested Mitnick on February 15, 1995, at his apartment in Raleigh,
North Carolina, on federal offenses related to a two-and-a-half-year
period of computer hacking that included computer and wire
fraud.[24][25] He was found with cloned cellular phones, more than 100
cloned cellular phone codes, and multiple pieces of false
identification.[26]
In December 1997, the Yahoo! Web site was hacked, displaying a message
calling for Mitnick's release. According to the message, all recent
visitors of Yahoo!'s site had been infected with a computer worm that
would wreak havoc on Christmas Day unless Mitnick was released. Yahoo!
dismissed the claims as a hoax and said that the worm was
nonexistent.[27][28]
Mitnick was charged with 14 counts of wire fraud, eight counts of
possession of unauthorized access devices, interception of wire or
electronic communications, unauthorized access to a federal computer,
and causing damage to a computer.[29]
He was diagnosed with Asperger syndrome, but it was not used as
evidence at his trial.[30] In 1999, Mitnick pleaded guilty to four
counts of wire fraud, two counts of computer fraud, and one count of
illegally intercepting a wire communication, as part of a plea bargain
before the United States District Court for the Central District of
California in Los Angeles. He was sentenced to 46 months in prison
plus 22 months for violating the terms of his 1989 supervised release
sentence for computer fraud. He admitted to violating the terms of
supervised release by hacking into Pacific Bell voicemail and other
systems and to associating with known computer hackers, in this case
co-defendant Lewis De Payne.[2][31][32]
Mitnick served five years in prison—four-and-a-half years' pre-trial
and eight months in solitary confinement, because, according to
Mitnick, law enforcement officials convinced a judge that he had the
ability to "start a nuclear war by whistling into a pay phone",[33]
implying that law enforcement told the judge that he could somehow
dial into the NORAD modem via a payphone from prison and communicate
with the modem by whistling to launch nuclear missiles.[34] In
addition, a number of media outlets reported on the unavailability of
kosher meals at the prison where he was incarcerated.[35]
Mitnick was released on January 21, 2000. During his supervised
release, which ended on January 21, 2003, he was initially forbidden
to use any communications technology other than a landline
telephone.[36] Under the plea deal, Mitnick was also prohibited from
profiting from films or books based on his criminal activity for seven
years, under a variation of the Son of Sam law.[37]
In December 2001, a Federal Communications Commission (FCC) judge
ruled that Mitnick was sufficiently rehabilitated to possess a
federally issued amateur radio license.[38]
Controversy
Mitnick's criminal activities, arrest, and trial, along with the
associated journalism, were all controversial.[7] Though Mitnick was
convicted of copying software unlawfully,[39] his supporters argue
that his punishment was excessive and that many of the charges against
him were fraudulent[40] and not based on actual losses.[41]
John Markoff and Tsutomu Shimomura, who had both been part of the
pursuit of Mitnick, wrote the book Takedown about Mitnick's
capture.[42]
The case against Mitnick tested the new laws that had been enacted for
dealing with computer crime and it raised public awareness of security
involving networked computers. The controversy remains, however, and
the Mitnick story is often cited today as an example of the influence
that newspapers and other media outlets can have on law enforcement
personnel.[43]
Consulting
After his release in 2000, Mitnick became a paid security consultant,
public speaker, and author. He carried out security consulting for,
performed penetration testing services, and taught social engineering
classes to companies and government agencies. He ran Mitnick Security
Consulting LLC, a computer security consultancy and was part owner of
KnowBe4, provider of an integrated platform for security awareness
training and simulated phishing testing,[44][45] as well as an active
advisory board member at Zimperium,[46] a firm that develops a mobile
intrusion prevention system.[47] He resided in Las Vegas, Nevada.[48]
Death
Kevin Mitnick died from pancreatic cancer on July 16, 2023, at the age
of 59 at a Pittsburgh, Pennsylvania hospital.[1] At the time of his
death, he was married and his wife was pregnant with his first
child.[9][1][49][50]

In 2000, Skeet Ulrich and Russell Wong portrayed Mitnick and Tsutomu
Shimomura, respectively, in the movie Track Down (known as Takedown
outside the US), which was based on the book Takedown by John Markoff
and Shimomura. The DVD was released in September 2004.[51]
Mitnick also appeared in Werner Herzog's documentary Lo and Behold,
Reveries of the Connected World (2016).[52]

The problem is no one's confirming it. Just a memorial page isn't
much to go on. No one on Twitter, Reddit, or Hacker News is stepping
up to say specifically "I know all about this and know independently
of this memorial page that Kevin is dead". Entities like 2600 or Jason
Scott are just retweeting the memorial. Is Kevin Mitnick dead?
Probably yes. But given that he was famous in particular for social
engineering, there's a bit of niggling doubt there about him or

Contribution credits and vanities
I put this in here, for the record, in case this article gets longer.
Most Mitnick stories, including his own, tell of the penetration by
Mitnick and his friends of what is called, reverentially, "The Ark" at
Digital Equipment Corporation. Although rare at that time outside of
DEC, inside there was a whole network of computers with addresses
using up to six RAD-50 characters. ARK:: was the address of the RSTS
development system. It was nothing special, just another PDP-11/70,
and certainly not the sanctum sanctorum of Digital software that he
makes it sound. Most operating system people in DEC at the time
thought downloading old RSTS sources was a hilarious waste of time. I
worked on a better OS on KERMIT:: and ALIEN::, that RSX guy, Ortolan88

"Hacker" n "Cracker"
The first sentence calls him a "hacker", even though he fits the
definition of "cracker" (including the definition given by Wikipedia).
He doesn't fit the primary definition of "hacker", as given by the
Wikipedia or that most any hacker would use.
I don't see how "cracker" is a "weasel term". Wikipedia defines
cracking as "the act of compromising the security of a system without
permission from an authorized party" -- which is precisely what
Mitnick did. That doesn't seem any more weasely than, say, calling Al
Capone a "gangster". It's what he did.
It's also confusing: it seems to imply that hacking is a criminal
activity, yet the (primary) definition of "hacker" doesn't mention
criminal activity.
The "hacker" article lists him as a "notable hacker[] who ran afoul of
a government", which is exceedingly generous. At the very least, I
think we should add an adjective here to distinguish what he did from
what most hackers do -- "security hacker", for example, though that
still feels too generous. Why can't we just call him a "security
cracker", like he is?
Perhapse I'm wrong, but I don't think the "weasel term" comment
refered to the term "cracker" so much as the context of the term, i.e.
"is widely regarded as"
They are both inappropriate and should be avoided. Cracker and
Phreak are both jargon. Very few people know what the term means,
everyone knows the term hacker in the sense used here. It is what the
little runt called himself. Mitnick and his like have unfortunately
captured this word now. The term hacker means computer criminal in the
popular mind. The OED (2nd ed) contains both definitions, it does not
contain cracker defined in this way and is pretty unlikely to.

the original poster noted, it incorrectly implies that "hacking" is a
crime. He should be described as having illegally accessed corporate
computer equipment, or some similarly descriptive phrase. I suppose

Cracker is both the correct term and a commonly used term
for describing this type of activity. It has been used in news reports
and articles intended for the general public. Using the term hacker is
incorrect. Wikipedia should probably try to avoid being incorrect.

Kevin was a Malicious Hacker =
The term hacker is ther term adopted by the media in general and by
the hackers themselves. I am entirely familliar with the MIT use of
the term, I worked at MIT. It is unfortunate that the crackers have
appropriated this term but they have been successful in doing so.
Attempting to redefine the term at this stage is futile.
If you want to refine the term, point out that Kevin was frequently
vindictive and malicious. He is also pretty unrepentant, he still
whines about the length of the prison term he got, I don't think it
was enough. Kevin is still a hussler, its just that his latest scam,
security consulting is at least legal even if it is difficult to see
how any client could trust him.

I could be wrong, since my knowledge of such terms is limited, but
isn't what Mitnick did normally known as "phreaking?" And if so,
shouldn't the article refer to him as a "phreaker" rather than
"cracker" or "hacker?"
He was both, but the majority of his illegal activity centered
around breaking into computer equipment rather than manipulating

In one of the books about him (don't remember which one), it
detailed how he was able to provision himself telephone features such
as Caller ID through both social engineering and accessing the
switches, before those features were available to the public;
accessing the switches would certainly fall into phreaking. And he and
one of his buddies would reprogram the switches in order to win

Genius as defined by WP is "Great intelligence, who shows an

creative or original work." well the first part is inarguably correct
the second part is the dispute, one could easily argue he was neither
creative nor original. I think the most correct term would be

No bail hearing
How about the fact that Kevin was kept in jail without a Bail hearing?
Not "without bail"- lots of criminals have bail denied, but until
Mitnick, every accused person was allowed to have a Bail Hearing.

What did he do?
I know this might sound like a stupid question, but the article
doesn't actually describe what he did, beyond a vague reference to
some companies and that he was convicted of wirefraud. Much more space
is dedicated to his incarceration than his actual crimes. Seems to me
that this is something that needs to be added. I doubt that I am

More content anyone?
I've seen two hour documentaries over this guy. Surely someone can
cram more crap in here? It never mentions any of the stuff he did. Not
only does it fail to explain why he's infamous (other than he
committed wire fraud, and if I did that, I'd probably not be famous,
right?), but the seemingly second-most important thing is that a bunch
of people deface his website. That should be close to the last thing
in the article because it really doesn't say much about him.
Unfortunately, we need sources for everything. So someone needs to
pick up a book and read it. Seriously, this article is disappointing
for what I expected. I expected to learn things I didn't already know.
Instead, I'm finding I know things that aren't listed here (though I
can't add it because I can't cite "Ziggythehamster's brain").

I understand your concern. It wouldn't be the first time
antisemitism has been skewed under the guise of something else.
However, I am Jewish myself and would be horrified by such a thought.
Kevin Mitnick isn't as bad as the press and court portrayed him, and
today he uses his talents to help others.
Fact is that wikipedia articles often bring origins and
religion in their articles. Kevin Mitnick is Jewish, demanded kosher
food in prison and after being released in 1989, a therapist suggested
he spend some time at a treatment center for addicts. Thus, Kevin
spent several months at Beit T'Shuvah, a treatment center for Jewish
ex-cons with addiction problems and no place to go.
So you might leave it out if you want. I think the guy is of a
great intelligence and just proves another great Jewish mind.

Myths
I am a little confused that "Hacked into Tsutomu Shimomura's home
computer" is listed as a myth, when the citation to support this is a
link to the site and seems to indicate that Mr Mitnick did in fact
break into Mr Shimomura's system. So my question is: is this
incorrectly placed as a myth, or is there a different citation to

I am going to remove the whole myths section for now... sources saying
that an accusation was made is entirely different from a source to
show that it's a myth, and from a glance at the section it looks like
many, if not most or all, are not adequately supported. Even someone
claiming that they are myths would not be verification that they are
myths, because there are people who make disputing claims all the
time. It's pushing POV to assume that one side is correct. DreamGuy

Who is Suzy Thunder?
How does she relate to Kevin Mitnick again? It says in the article
that she was the one who told authorities that Mitnick could cause a
nuclear war by whistling into a telephone. I do not think this
information is accurate.
Searching Google Video for hacking yields a 50 min video about
hacking, and in it Kevin Mitnick himself says that during one of his
trials, the prosecutor told the judge that if he [Kevin Mitnick] had
access to the payphone inmates used to contact their families, he
could start a nuclear war.

Cleanup
I think this article needs a complete overhaul and rewrite. Instead of
just tearing it apart, I'm going to propose my major changes here for
discussion. If no one has any objections, I will go ahead. To start:
The entire "Skills" section should be removed. It is completely
unsourced and unencyclopedic.
The "Downfall" section should be renamed to "FBI arrest" and
reduced to what there are currently sources for.
The "Controversy" section should be rewritten and unsourced
material removed.
The "Attacks on Mitnick's sites" section should be removed. It is
not relevant to a biographical article, and it is poorly sourced.
The "Recent activities" section should be rewritten as prose, and
all unsourced material should be removed.
Anything that is sourced to http://www.freekevin.com should be
removed because that site now appears to be down.
The "In popular culture" section should be rewritten as prose, and
all unsourced material should be removed.
After all of that, I am willing to find neutral, reliable sources and

standard procedure, afaik. That is the reason we have accessdate
fields in the citation templates. In all likelihood the site is still
available from the internet archive. Finding extant sources would be
ideal, but there isn't, imo, any reason to remove the

This article is terrible, one of the first things it states is that

punishment was excessive" This is a huge POV, and also weasel words at
the same time. First is "he is considered a criminal by some" this is
clearly designed to give the impression he isn't really a criminal and
that implication is furthured by "but he has also gained many
supporters". He is by definition a criminal by having been convicted
of crimes, and who are these "many" supporters?, how does the person
who edited this know what they generally argue?, where are the
citations for this statement? and who do these "many supporters" say
he was a scapegoat for?. I am going to change this to "Though Mitnick
has been convicted of computer related crimes and possesion of several
forged identification documents, his supporters argue his punishment
was excessive".

I see no good reason for this BLP to not match most of our other BLPs
in putting things in a reasonably chronological order, so I am editing

Additional Info I Researched Years Ago - Please Consider Adding
I did a lot of research for a website I did in the early 2000's about
actress Kristy McNichol. I found news clippings I got on eBay about
how McNichol was being terrorized in the early 1990's with her phone
cut off. This guy Mitnick was responsible for the activity that he
went to prison for. This info is overlooked on this page that I
believe warrants consideration. If anyone has any cites to use it
would be much appreciated. Mitnick referred to this accusation in his
book as being bogus, but he was put in jail partly for his crimes

"Social Engineering"
The term social engineering is misused in this article. Asking a bus
driver a question and getting a reply is not social engineering, it's
asking a question.
If any flimsy pretext existed by which this could even be classed as
any form of engineering; social it certainly is not. Social
engineering is the attempt to manipulate society, not an individual in
a "one off" incident.
The same applies to the other incidents in which phone numbers,
passwords etc. were obtained.
The misuse of this term now includes various forms of computer

That is the correct use of social engineering in this context.
Mitnik uses that term in his autobiography to describe what he was
doing. To me, it seems that the expression "social engineering"
includes asking, lying, and impersonating people/job titles to obtain

Debate about noting felony convictions in the opening sentence
Hello, requesting guidance for a proposed edit to the Kevin Mitnick
page. I noticed that someone mentioned that "Kevin Mitnick is an
American convicted felon" normally wouldn't be noted in the first line
of the article, UNLESS this is what the subject is known for. The
rationale for inclusion came from using the Frank Abagnale article as
a model (Abagnale even wrote a promotional blurb for Mitnick's
published autobiography), and from the fact that this is indeed what
Mitnick is most famous for. See a simple Google image search resulting
in his wanted posters, as well as the fact that he promotes his "most
wanted" status himself to position himself in his current field. Given
this information, would it be inappropriate to make such an edit in
the opening line of the article? Input appreciated.

Thwart Hostile Takeover
In an attempt to move along his hostile takeover following Twitter's
adoption of a poison pill takeover defense (see below), the NY Post
reports that Elon Musk is speaking to potential co-investors who could
partner with him on a bid for the social network, and cites sources
according to whom a new plan that includes partners could be announced
within days.
One possibility is teaming with private-equity firm Silver Lake
Partners, which was planning to co-invest with him in 2018 when he was
considering taking Tesla private, and whose Co-CEO Egon Durban is
already a Twitter board member and led Musk’s deal team during the
2018 failed effort to take Tesla private, sources said. Silver Lake
declined to comment.
Whether Musk would present Twitter with an entirely new offer —
perhaps raising his current bid — or whether new partners would simply
go in on a purchase with him isn’t clear. A Musk spokesperson declined
to comment.
As we predicted earlier (see below), one way to circumvent Twitter's
Poison Pill is for Musk "to be joined by one or more like-minded,
anti-censorship investors such as Peter Thiel who either build up
stakes through the poison pill 15% limit in the process making a
management and board replacement by proxy vote the simple outcome."
And indeed, the Post writes now that the "pill may not stop other
entities or people from acquiring their own shares of up to 15% of the
company. Those owners could partner with Musk to force a sale, make
changes in the executive ranks or push for other overhauls of the

15% of the stock without prior approval, lasting for one year (if the
pill had expired the day after the midterms it may have been a bit too
obvious). The plan seeks to ensure that anyone taking control of
Twitter through open market accumulation pays all shareholders an
appropriate control premium, according to a statement Friday.
For a company that has struggled greatly with value creation - on
Friday TWTR stock closed at $45.08, or 18 cents higher than where it
closed on its first day as a public company, or $44.90 - a poison pill
defense strategy allows existing shareholders the right to purchase
additional shares at a discount, effectively diluting the ownership
interest of the hostile party. Poison pills are common among companies
under fire from activist investors or in hostile takeover situations.
Under Twitter’s plan, each right will entitle its holder to purchase,
at the then-current exercise price, additional shares of common stock
having a then-current market value of twice the exercise price of the
right.
Twitter enacted the plan to buy time, Bloomberg reported citing a
person familiar with the matter, although it wasn't clear time for
what: at $54.20, Musk's offer represents a premium to the historical
TWTR price since IPO on 92% of the time.
And since the Twitter board, whose constituents are listed below...
... is about to get bombarded with a barrage of lawsuits claiming it
violated its fiduciary duty, the board also said it wants to be able
to analyze and negotiate any deal, and may still accept it (spoiler
alert: it won't).
Twitter’s board met Thursday to review Musk’s proposal - which
according to the world's richest man was his “best and final” offer
and who had already accrued a stake of more than 9% in Twitter since
earlier this year - to determine if it was in the best interest of the
company and all of its shareholders.
Included in Musk’s securities filing disclosing the bid Thursday
morning was a script of text he sent to the company. In it he said,
“it’s a high price and your shareholders will love it.” Hilariously,
one prominent - and former - investor said the offer was too low and
the market reaction appeared to agree. Saudi Arabia’s Prince Alwaleed
bin Talal said the deal doesn’t “come close to the intrinsic value” of
the popular social media platform. Which is, well, hilarious since as
we showed yesterday, it appears the Prince no longer has direct
ownership of even one share of Twitter stock.
Speaking later Thursday at a TED conference, Musk said he wasn’t sure
he “will actually be able to acquire it.” He added that his intent was
to also retain “as many shareholders as is allowed by the law,” rather
than keeping sole ownership of the company himself.
After initially surging, Twitter shares dropped 1.7% in New York on
Thursday, reflecting the market’s view that the deal is likely to be
rejected or to fall through.
Musk first disclosed his Twitter stake on April 4, making him the
largest individual investor. At the TED conference, he indicated that
he has a Plan B if Twitter’s board rejects his offer. He declined to
elaborate. But in his filing earlier in the day, he said he would
rethink his investment if the bid failed.
“If the deal doesn’t work, given that I don’t have confidence in
management nor do I believe I can drive the necessary change in the
public market, I would need to reconsider my position as a
shareholder,” said Musk.

Previewing the poison pilll defense, on Thursday, Cameron Winklevoss,
founder of the Gemini cryptocurrency exchange, tweeted (of course)
that “Twitter is considering a poison pill to thwart @elonmusk’s
offer." In response, Musk said that a “poison pill” move would be a
"breach" of the board's fiduciary duty and could expose Twitter’s
board to “titanic” legal liability.
If the current Twitter board takes actions contrary to shareholder
interests, they would be breaching their fiduciary duty.

Winklevoss alleged in his tweet that, by adopting the poison pill
tactic, Twitter was demonstrating its commitment to preserving the
status quo even if it has a negative impact on existing shareholders.
“They would rather self-immolate than give up their censorship
programs. This shows you how deeply committed they are to Orwellian
control of the narratives and global discourse. Scary,” he wrote.
Twitter has repeatedly suppressed and "shadowbanned" conservative
viewpoints, allegations the company has repeatedly denied.
Adam Candeub, a law professor at Michigan State University, said that
Twitter’s board could face legal consequences if they turn down an
offer that’s financially lucrative to shareholders.
“Twitter’s owned by shareholders, and the directors have to act in a
way that’s in their best interests, not in the way that allows them to
keep control of the corporation,” Candeub told The Epoch Times.
“If they turn down a very favorable price, there will be dereliction
of their legal duty, and there could be lots of legal consequences.”

has a "Plan B" in stock for the company although he did not disclose

like-minded, anti-censorship investors such as Peter Thiel who either
build up stakes through the poison pill 15% limit in the process
making a management and board replacement by proxy vote the simple
outcome, or they just raise the takeover price to a level that even
the woke Twitter board can not reject.
Or skip the whale investor approach entirely, and open up twitter to a
mass investor buyout, in the form of a DAO, where "token holders will
get to vote on what's trending and who gets verified."

Alternatively, Musk can take his appeal directly to his 82 million
twitter followers (a quarter of Twitter's total 217 million global
Daily Active Users) and have them all buy several shares, then pledge
them for Elon during the next proxy vote. Because as much as Twitter
wants to reject any buyout offer that will prevent it from imposing
the censorship its liberal board and employees love so much, there is
only so much it can do.
In the end, however, the only question is how dedicated is Musk to
control Twitter, because if he really wants it, he will get it.

Late last month, the administrators at a Colorado public school - with
the grandiose name "the Vanguard School" - tried to force a
12-year-old boy named Jaiden to remove a Gadsden flag patch from his
backpack. The Gadsden flag may be more familiar to readers as simply
the rattlesnake flag with the words "don't tread on me" on it. People
who are at all familiar with the American revolution know the flag is
a revolutionary-era flag with a message designed to repudiate the
imperial despotism imposed on the Americans by British elites.
Teachers and administrators at the Vanguard School, however, were
absolutely sure the flag has "origins with slavery, and the slave
trade."
Of course, this is exactly the kind of historical illiteracy and
social-democratic revisionism we'd expect from public school teachers
and administrators. "Teaching" at your average public school is mostly
about running a taxpayer-funded propaganda mill and daycare center,
and has little to do with the dissemination of any factual material.
Thus, it is likely that the staff at this school saw on MSNBC once
that the Gadsden flag is "racist" because some American conservatives
wave it. The leap from this slur to the idea that the flag is a symbol
of slavery is brief indeed.
This whole narrative is part of the story pushed by the "1619 Project"
at the New York Times which would have us believe that the American
Revolution itself was all about racism and slavery.
Meanwhile, the real themes and facts of the revolution - secession,
natural rights, radical liberalism, violent revolution, and extreme
decentralization - have all been swept aside to serve Progressives'
current ideological projects. The regime's propagandists—which
includes most public school employees—naturally seek to destroy and
discredit all symbols of the American Revolution beyond bland slogans
about "taxation without representation." This framing of the
revolution makes it all very safe and does not encourage any
opposition to the current regime. After all, we have "representation"
now—the millionaire gerontocracy in Congress "represents" you, don't
you know—so there's no reason to think revolution can be justified. If
you don't like something, just vote harder.
This sterile pro-status-quo interpretation of the revolution is
exactly what we should expect to be taught in a government school
because the correct interpretation is far too dangerous and
inconvenient for the regime.
The reality of the revolution, of course, is that a sizable portion of
the population—from intellectual elites in cities to ordinary farmers
in the countryside—grew tired of the British yoke. Animated by a
radical ideology of natural rights—which we now call "classical"
liberalism or libertarianism—Americans declared the established
government illegitimate and seceded. It didn't have to be that way. At
first the Americans had asked politely for more freedom. They even
sent the Olive Branch Petition to the King. For their efforts, the
Americans were declared "traitors"—that epithet so often used by
despots and their useful idiots everywhere.
When the British state eventually launched a war against the Americans
to prevent their secession, the Americans were forced to take up arms
and killed government soldiers and officials until they packed up and
left the country. The revolutionaries only wanted peace and
self-determination. The British refused to let them have it. The
British got their response, and got it good and hard.
It was all morally justified, of course: the secession, the rebellion,
the disdain for the British idea of "law and order." Parliament and
the Crown had attempted to destroy the Americans' human rights—the
rights of life, liberty, and property as outlined by the libertarian
Leveller revolutionaries in England a century earlier. As a result,
the revolutionaries were entitled to protect their rights by using
violence in self-defense.
Naturally, today's elites ignore those parts of the American
Revolution. It also now appears the Progressives have moved on to the
next phase which is to discredit the revolution altogether. Thus,
symbols of the revolution must be denounced as symbols of slavery, and
all modern rebellion and secession declared to be "treason" or
"sedition" or some other political "crime." It's okay to "rebel"—i.e.,
in the style of Antifa or Black Lives Matters—so long as the
"solution" is always more state power. Real independence, secession,
and rebellion are absolutely not allowed. The 1619 Project thus
assures us the whole enterprise of the American Revolution was
suspect. We're told those ill-mannered Americans should have listened
to their betters in the imperial metropoles of Britain!
For those who actually respect human rights, however, any attempt to
craft or promote this Progressive anti-revolutionary narrative must be
met with enthusiastic opposition. In the case of Jaiden at the
Vanguard School, there is a happy ending. The teachers were humiliated
and Jaiden's backpack remains bedecked with the Gadsden flag. It's a
small victory, but a necessary one. For obvious reasons, the regime
doesn't want Americans to think secession or revolution—as so well
described by Thomas Jefferson—is ever an option. Ever since the
counter-revolutionaries got their new centralist-nationalist
constitution in 1787, the American regime has been about the
maintenance and spread of federal power. The revolution, however, acts
as a beacon in the opposite direction, and Rothbard has explained why:
The Americans had always been intractable, rebellious, impatient
of oppression, as witness the numerous rebellions of the late
seventeenth century; they also had their own individualist and
libertarian heritage, their Ann Hutchinsons and Rhode Island quasi
anarchists, some directly linked with the left wing of the English
Revolution. Now, strengthened and guided by the developed libertarian
natural rights ideology of the eighteenth century, and reacting to
aggrandizement of the British imperial state in the economic,
constitutional, and religious spheres, the Americans, in escalated and
radicalized confrontations with Great Britain, had made and won their
Revolution. By doing so, this revolution, based on the growing
libertarian idea pervading enlightened opinion in Europe, itself gave
immeasurable impetus to the liberal revolutionary movement throughout
the Old World, for here was a living example of a liberal revolution
that had taken its daring chance, against all odds and against the
mightiest state in the world, and had actually succeeded. Here,
indeed, was a beacon light to all the oppressed peoples of the world!

Hi dear friends.
Here is a summary of what's been going on with the cypherpunks list and server since Saturday September 16.
Two factors combined that resulted in the cpunks list being temporarily throttled or rate-limited by gmail, yahoo and probably a few other big email services.
One factor is Karl's rate of messaging, mentioned below. I counted 115 unique messages sent to the list over a 6-hour period on September 16.
This rate of messaging is much higher than typical, and gmail and yahoo automatically started rate-limiting our messages. Here's a typical response from gmail - note that it's from today. We are still rate-limited:

There are currently almost 100 messages to cypherpunks that have not been delivered to gmail addresses. (This message will, presumably, soon be one of them.)
The second factor is that Karl was victim of an unsubscription mailbombing attack. Over 200,000 unique IP addresses visited the page at lists.cpunks.org to send a password reminder to his gmail address. At one point there were over 33,000 messages queued up to Karl on the cpunks server. Gmail started bouncing these, too. I deleted a whole bunch that were pending and the attack stopped on Saturday night.
Now, several days later, gmail is still blocking messages. The cpunks list has around 50 subscribers with gmail addresses. Those folks probably won't see this note until gmail allows messages to flow.
The link above has Google's guidance on this situation. The cpunks server is fully compliant with all the technical controls like SPF, and hopefully all the messages will eventually be delivered.

To address the first issue, on Saturday I asked Karl to consider sending fewer messages per day. Combining many short messages into fewer longer messages will be less likely to trigger rate limiting on the big mail services.
To address the second issue, if the problem reoccurs I can put some captcha-style blocks on the list management page(s) and/or simply disable the password reminder feature. It would be great if the problem simply doesn't occur again, though, since it has a big impact on the server and other subscribers, not just Karl.
For that broader context, the cpunks server at https://lists.cpunks.org is the main production server for Project Gutenberg, from which we publish around 200 new free eBooks/month. On Saturday, messages to one of the key production coordinators who has a yahoo.com email address could not get through because yahoo, like gmail, was blocking us.
Many of us will remember that historically, cypherpunks was a set of lists connected via remailers. That is something that could happen again if there is interest - certainly I would do what I can to support it. Meanwhile, though, the list lives on a single physical server.
I hope this background is useful. I don't feel any need to keep this type of situation a secret, and it's the nature of cpunks that subscribers want the list to keep working. Suggestions and discussion are welcome.
