Meta faces lawsuit over logo

https://www.fastcompany.com/90749484/meta-faces-lawsuit-over-logo Meta faces lawsuit over logo <https://www.fastcompany.com/90749484/meta-faces-lawsuit-over-logo> A blockchain organization is suing Meta for using a logo similar to its own, claiming Meta’s ‘sordid online privacy history’ could jeopardize its reputation. As if Meta doesn’t have enough <https://www.nytimes.com/2022/04/27/technology/facebook-meta-earnings.html> problems <https://www.washingtonpost.com/technology/2022/03/30/facebook-tiktok-target…>, the company now faces a lawsuit over its logo. The Swiss blockchain nonprofit Dfinity <https://dfinity.org/> filed suit <https://www.reuters.com/legal/litigation/meta-hit-with-trademark-lawsuit-ov…> against Meta for trademark infringement in a Northern California court this week. The suit alleges that Meta’s logo, an infinity symbol unveiled last fall <https://www.fastcompany.com/90691280/you-might-hate-facebooks-new-name-but-…> when the company rebranded from “Facebook,” looks strikingly similar to Dfinity’s own mark. Dfinity is suing for unspecified damages and asking the court to prevent Meta from using the logo, claiming that its reputation is at stake. “Dfinity would be severely harmed in its development of the Internet Computer and its ability to attract users if those users were to associate Dfinity with Meta’s sordid online privacy history,” the complaint reads <https://fingfx.thomsonreuters.com/gfx/legaldocs/lgvdwgazepo/IP%20META%20TRA…> . Could Meta be forced to pull its logo? According to legal experts we spoke with, it’s possible but not likely. The case rests on whether consumers find the two logos confusing. “I don’t see a strong likelihood of confusion, so I don’t believe this is a strong case,” says Alexandra J. Roberts, a professor at the University of New Hampshire Franklin Pierce School of Law. “But it’s impossible to rule out that Dfinity could be successful here.” A key issue is that infinity symbols are fairly commonplace. The two logos might be similar in shape and design, but they’re still just stylized versions of an everyday symbol. That makes it harder to argue that consumers associate the symbol with a particular company. “It is the name ‘Dfinity’ that is likely the most distinctive part of Dfinity’s registered trademark,” says Jon J. Lee, an associate professor at the University of Oklahoma College of Law. “Had Meta adopted a similar name, such as Sfinity, for its brand, that would have made for a stronger claim of infringement.” But even if Dfinity fails to prove its case, the lawsuit could jeopardize Meta’s attempts to earn trademark protection for its own logo. That’s because it could highlight how unremarkable the logo really is. (Meta filed for trademark protection in March.) Says Lee: “The U.S. Patent and Trademark Office might find that [Meta’s logo] is not inherently distinctive on its own and require more evidence that consumers associate the symbol with a single company.” Neither Dfinity nor Meta responded to a request for comment by publication time.

Musk’s Twitter Buyout Challenged by Florida Pension Fund (2)

Any big LBO in the news might remind some of the gray-grizzled punks here about RJR Nabisco and the original king of junk-bonds. They even made an entertaining movie about it. https://en.wikipedia.org/wiki/Barbarians_at_the_Gate_(film) Another classic from that era " Den of Thieves ' featured Sam Bankman-Fried like Arb, Ivan Boesky. Its clear that low cunts, like Jackass Dorsey and Musk, think laws are for others not their killer elite that includes BFF's like Thiel and Trump.

Musk’s Twitter Buyout Challenged by Florida Pension Fund (2)

https://news.bloomberglaw.com/securities-law/musks-twitter-buyout-challenge… Musk’s Twitter Buyout Challenged by Florida Pension Fund (2) Elon Musk’s $44 billion buyout of Twitter Inc. was challenged in a lawsuit by a Florida pension fund that argues the deal can’t close before 2025 because Musk was an “interested shareholder” in the social-networking platform. The Orlando Police Pension Fund filed suit in Delaware Chancery Court <https://courts.delaware.gov/chancery/> on Thursday. According to the complaint, Musk had agreements with other major Twitter shareholders -- including founder Jack Dorsey -- to rely on their holdings when offering to take the company private last month. Those arrangements triggered a Delaware law that calls for a three-year delay in closing such deals, the fund claims. Musk’s Twitter acquisition features one of the biggest leveraged buyout deals in history. He’s taking private a 16-year-old social networking platform that has become a hub of public discourse and a flashpoint in the debate over online free speech. Musk disclosed Thursday a group of investors were kicking in more than $7 billion of equity towards the deal. They include Oracle Corp. billionaire Larry Ellison, venture-capital firm Sequoia Capital and cryptocurrency exchange Binance Holdings Ltd. A representative for Musk didn’t immediately return an email seeking comment on the pension fund’s suit. Musk, 50, has outlined financing for the deal that includes $13 billion in bank loans secured by the social-media company and $12.5 billion backed by a pledge of some of his $170 billion Tesla Inc. stake. He’s currently the world’s richest individual, with a fortune valued at more than $249 billion. The pension fund’s lawyers note Musk owned about 10% of Twitter’s shares when he made his buyout offer. They also say in the complaint that he had an “agreement, arrangement or understanding” with other major Twitter investors, such as Dorsey and investment bank Morgan Stanley. Those pacts allowed Musk to rely on their shares and support for the deal, according to the suit. Under Delaware corporate law, those agreements make Musk an “interested shareholder” who has to wait three years to close the deal or win the support of investors who control “at least 66 2/3% of Twitter’s outstanding voting stock” and were independent from the billionaire, the suit said. The fund is asking a Delaware judge to find that Musk meets the test for an “interested shareholder” and is subject to the law, according to the complaint. The statute cited by the Florida fund was passed by Delaware lawmakers in the 1980s to help address a boom in takeovers and to protect shareholders’ rights to vote, but it won’t pose much of a barrier for Musk, said Charles Elson, the former director of the Weinberg Center for Corporate Governance at the University of Delaware. “Its an extremely high wall to show someone was an interested shareholder, and few have surmounted it over the years,” Elson said. The case is Orlando Police Pension Fund v. Twitter Inc, No. 2022-0396, Delaware Chancery Court.

When this issue was in the news I noticed the Journalist, Assmange run increased risks on its behalf. He was already on the bad side of his Ecuadorian hosts and they were giving him repeated warnings not to meddle in any foreign countries political affairs. ( Examples available on request - Lenin Moreno personally warned Assmange to STFU ) Now the Journalist, Mange has gone from recommending Russian security for Embassy details to supporting covert net communications in free Ukraine it might be interesting to see if Camp Assange members like the Nazi, Israel Shamir and Red-Fascist's, Tariq Ali and John Pilger break conclusively with him. He's a long way from 'revolutionary cypherpunk' Kansas now and bourgeois journalists are a glut on the market. BTW crypto prices have moved back roughly where they were when Camp Assange liquidated their aprox 30 mill holdings. IF it emerges the JOURNALIST has lost his openly fascist entourage THEN it becomes easier for us all here to proffer some limited TACTICAL support in his legal proceedings. They appear ripe for graymail delays and possibly even mistrial and dismissal motions. Low hanging fruit for all the lawfare wonks. The CIA trial of Josh Shulte is instructive in this respect. Say ' Hi There ' to Joshua.

This is some spam I just received, as many do. It was bccd to an email address I commonly use. It apparently represents that we're in a situation where we exposed to mostly options that have little real utility. Such situations can lead to locally good choices that can appear bad to others, possibly due to the difficulty of avoiding disempowerment. I'm probably sending this in an urge to more thoroughly cover up ideas of coopting people and groups and stimulating warfare. ---------- Forwarded message --------- From: _Congrat_ <mdkamrulislam01740(a)gmail.com> Date: Mon, May 9, 2022, 5:12 AM Subject: Confirmation Receipt 6011510616 *CONGRATULATIONS!
